Shuffle Master’s acquisition of the Table Game division assets of Progressive Gaming International, agreed in July, was having difficulty reaching closure as these pages went to press.
Due diligence and legal work necessary to close the contemplated sale weren’t completed to the original deadline, which resulted in two extensions to the exclusivity period with respect to the transaction.
The transaction is the subject of a non-binding letter of intent, and is contingent upon the completion, during the exclusivity period, of definitive agreements, final due diligence, and other customary closing conditions.
The deal would give Shuffle Master worldwide rights and contracts for Progressive's table game titles, including Caribbean Stud and Texas Hold 'Em Bonus Poker. A technology licence was also expected to be negotiated, allowing Shuffle Master to integrate Progressive's Casinolink Jackpot System module into certain table games.
